1. Acceptance of Terms

By accessing or using the services provided by UniSight BIT Inc. ("UniSight," "we," "our," or "us"), including our website, applications, and related services (collectively, the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

UniSight provides grocery store management software solutions, including but not limited to point of sale systems (GroPOS), time tracking (oneTime), inventory management (oneStore), and employee collaboration tools (oneTeam).

3. User Accounts

3.1 Account Creation

To access certain features of our Services, you may be required to create an account. You must provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the Services or servers
  • Transmit any viruses, malware, or other malicious code
  • Use the Services to infringe on intellectual property rights
  • Impersonate any person or entity

5. Subscription and Payment

5.1 Fees

Access to certain features of our Services may require payment of fees. All fees are quoted in US dollars unless otherwise specified. Our Core suite starts at $199 per month*, with custom estimates provided per location. You only pay extra for additional features and functionality you want. *Restrictions apply. Please submit a request for a customized quote for your location(s).

5.2 Billing

By subscribing to our Services, you authorize us to charge your payment method on a recurring basis until you cancel your subscription.

5.3 Refunds

Refunds may be provided at our sole discretion. Please contact us for refund requests.

6. Intellectual Property

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and source code, are the exclusive property of UniSight BIT Inc. and are protected by copyright, trademark, and other intellectual property laws.

7. User Content

You retain ownership of any content you submit, post, or display through the Services. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with providing the Services.

8. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNISIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to indemnify, defend, and hold harmless UniSight and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Services or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Services after such changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and UniSight regarding the use of the Services.
